Welcome to Paisley Lux! The terms "we", "us" and "our" refer to Paisley Lux, a store operated by Nendra Commerce LLC (company number 002098118), a limited liability company registered in Wyoming, USA, which runs the business from the United States. Paisley Lux operates this store and website, including all related information, content, features, tools, products and services, to provide you, the customer, with a curated shopping experience (the "Services"). Paisley Lux is powered by Shopify, which enables us to provide the Services to you.
The terms and conditions below, together with the policies referred to in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services. They form part of these Terms: our Shipping policy, Return and refund policy, Payment policy and Privacy policy.
Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy policy. If you do not agree to these Terms or our Privacy policy, you should not use or access our Services.
Your rights under Australian law: our goods come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded, and every section below is subject to this paragraph.

Section 1 - Access And Account

By agreeing to these Terms, you represent that you are at least 18 years old, or that you are using the Services with the consent of a parent or guardian.
To use the Services, including browsing our store or buying products, you may be asked to provide certain information, such as your email address and your billing, payment and shipping details. You represent that all the information you provide is correct, current and complete and that you have the right to provide it.
If you create an account, you are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to anyone else.

Section 2 - Our Products

We make every effort to describe and show our products accurately, including measurements, materials and colours, and our products will match their description. Colours can look slightly different on your screen depending on your device and its settings. Please check the size guide on each product page before you order. If a product is not as described, our Return and refund policy and your rights under the Australian Consumer Law apply.
We may change product descriptions, discontinue a product or limit the quantities we offer to any person or region at any time. Changes do not affect orders we have already accepted.

Section 3 - Orders

When you place an order, you are making an offer to buy. We may accept or decline your order. Your order is accepted when we send you our shipping confirmation. We must receive your payment before your order is accepted. If we decline, change or cancel an order, we will contact you using the email address, phone number or billing address you gave at checkout and refund any amount you paid for the affected items in full.
You can cancel or change an order free of charge within 12 hours of placing it. Returns and exchanges are handled under our Return and refund policy.
You confirm that your purchases are for your own personal or household use and not for commercial resale or export.

Section 4 - Prices And Billing

All prices are in Australian dollars (AUD). The price shown at checkout is the total price you pay: shipping is free, and we are not currently registered for Australian GST, so no GST is added. There are no customs duties or import charges to pay on delivery.
Prices, discounts and promotions may change without notice, but the price charged is the price in effect when you place your order, as shown in your order confirmation email. Prices in our store may differ from prices in physical stores or other online stores. If we run a promotion with its own terms and those terms conflict with these Terms, the promotion terms apply to that promotion.
You agree to provide current, complete and accurate purchase and payment information, and to keep your account details up to date, so that we can complete your transactions and contact you. You confirm that you are authorised to use the payment method you provide. We accept the payment methods listed in our Payment policy.

Section 5 - Shipping And Delivery

Delivery times, costs, restrictions, tracking and what happens with late, lost, damaged or undelivered parcels are set out in our Shipping policy.
Delivery dates are estimates. We are not responsible for delays caused by events outside our reasonable control, such as severe weather or carrier disruption, but if your order is late or lost, our Shipping policy explains how we resend it or refund you. Risk in the products passes to you when they are delivered. Nothing in this section limits your rights under the Australian Consumer Law.

Section 6 - Intellectual Property

Our Services, including all trademarks, brands, text, displays, images, graphics, product reviews, video and audio, and their design, selection and arrangement, are owned by Paisley Lux, its affiliates or licensors and are protected by copyright and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material on the Services without our prior written consent. Nothing in these Terms grants you a licence to any patent, trademark, copyright or other intellectual property of Paisley Lux, Shopify or any third party. All rights not expressly granted are reserved.
The Paisley Lux name, logos, product names, designs and slogans are trademarks of Paisley Lux or its licensors. You must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names and logos on the Services belong to their respective owners.

Section 7 - Optional Tools

You may be given access to customer tools offered by third parties as part of the Services, which we do not monitor or control.
We provide access to such tools "as is" and "as available", without any endorsement. To the extent the law allows, we have no liability arising from your use of optional third-party tools.
Any use of optional tools is at your own discretion, and you should make sure you are familiar with and accept the terms on which the relevant provider offers them.
We may add new features or tools to the Services in the future. These are also part of the Services and subject to these Terms.

Section 8 - Third-Party Links

The Services may contain materials and links to websites operated by third parties, including embedded third-party functions. We are not responsible for checking or evaluating the content or accuracy of third-party materials or websites. If you leave the Services to visit them, you do so at your own risk.
To the extent the law allows, we are not liable for any harm or damage related to your use of third-party websites or anything you buy from them. Please review their policies before you engage in any transaction, and direct any complaints about third-party products or services to the third party.

Section 9 - Relationship With Shopify

Paisley Lux is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Paisley Lux. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Paisley Lux, including any injury, damage or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with Paisley Lux. This does not affect any right you have against Paisley Lux.

Section 10 - Privacy Policy

All personal information we collect through the Services is subject to our Privacy Policy, which can be viewed here, and certain personal information may be subject to Shopify's Privacy Policy, which can be viewed here. By using the Services, you acknowledge that you have read these privacy policies.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit to the Services is transmitted to and shared with Shopify and with third parties that may be located in countries other than where you live, including the United States and Canada, in order to provide services to you. Our Privacy policy explains how we, Shopify and our partners use your personal information.

Section 11 - Feedback

If you submit, upload, post, email or otherwise send us any ideas, suggestions, feedback, reviews or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use, such as to operate, improve and promote the Services.
You confirm that you own or have the rights to your Feedback, that you have disclosed any payment or incentive you received for it, and that it complies with these Terms. We are not obliged to keep your Feedback confidential, pay for it or respond to it.
We may, but are not obliged to, monitor, edit or remove Feedback that we consider unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or that infringes anyone's intellectual property or these Terms.
Your Feedback must not infringe anyone's rights, including copyright, trademark, privacy or personality rights, and must not contain unlawful, abusive or obscene material or any virus or malware. You may not use a false email address, pretend to be someone else or mislead us or others about the origin of any Feedback. You are responsible for your Feedback and its accuracy.

Section 12 - Errors, Inaccuracies And Omissions

Occasionally, information on the Services may contain typographical errors, inaccuracies or omissions, for example in product descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct any errors and to change or update information at any time. If an error affects an order you have already placed, we will contact you before dispatch; if you do not want to go ahead on the corrected terms, we will cancel the order and refund you in full.

Section 13 - Prohibited Uses

You may use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to break any law or regulation; (c) to infringe our intellectual property rights or anyone else's; (d) to harass, abuse, insult, harm, defame or intimidate our team or any other person; (e) to send false or misleading information; (f) to send material that does not comply with these Terms; (g) to send advertising or promotional material, including spam, junk mail or chain letters; (h) to impersonate any person or entity; or (i) to do anything else that restricts anyone's use of the Services or that may harm Paisley Lux, Shopify or users of the Services.
You also agree not to: (a) upload or send viruses or other malicious code; (b) reproduce, copy, sell, resell or exploit any part of the Services; (c) collect or track other people's personal information; (d) spam, phish, pharm, pretext, spider, crawl or scrape; or (e) interfere with or get around the security features of the Services. We may suspend, disable or close your account if you break any part of these Terms.

Section 14 - Termination

We may end this agreement or your access to the Services (or any part of them) at any time if you breach these Terms, and you remain liable for any amounts due up to the date of termination. Termination does not affect orders we have already accepted or your rights in relation to them.
The following sections continue to apply after termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive.

Section 15 - Disclaimer Of Warranties

General information on the Services, such as style guides and blog content, is provided for general information. To the extent the law allows, we do not warrant that the Services will be uninterrupted, timely, secure or error-free.
Except as expressly stated in these Terms and except for the guarantees you have under the Australian Consumer Law, the Services are provided "as is" and "as available", and we exclude all other warranties and conditions to the extent the law allows. The consumer guarantees under the Australian Consumer Law, including that goods are of acceptable quality, fit for purpose and match their description, cannot be excluded and are not affected by this section.

Section 16 - Limitation Of Liability

To the extent the law allows, Paisley Lux, Nendra Commerce LLC and our partners, officers, employees, contractors, service providers and licensors, and Shopify and its affiliates, are not liable for any indirect, incidental, punitive, special or consequential loss or damage, including lost profits, lost revenue, lost savings or loss of data, arising from your use of the Services or any product bought through them, and our total liability for any order is limited to the amount you paid for it.
Nothing in this section excludes or limits any liability that cannot be excluded or limited by law, including our obligations and your remedies under the Australian Consumer Law.

Section 17 - Indemnification

To the extent permitted by law, you agree to indemnify Paisley Lux, Nendra Commerce LLC, Shopify and our affiliates, partners, officers, employees, contractors, licensors and service providers against any losses, damages, liabilities or claims, including reasonable legal fees, payable to a third party because of (1) your breach of these Terms or the policies they include, (2) your breach of any law or of a third party's rights, or (3) your misuse of the Services. This section does not apply to loss caused by our own breach or negligence, and it does not limit your rights under the Australian Consumer Law.

Section 18 - Severability

If any part of these Terms is found to be unlawful, void or unenforceable, that part will still be enforced to the fullest extent permitted by law, and the rest of these Terms will remain valid and enforceable.

Section 19 - Waiver; Entire Agreement

If we do not exercise or enforce any right or provision of these Terms, that does not waive the right or provision.
These Terms and the policies they include are the entire agreement between you and us about your use of the Services and replace any earlier agreements, communications or versions of these Terms. Any ambiguity in these Terms will not be interpreted against the party that drafted them.

Section 20 - Assignment

You may not transfer or assign these Terms or any of your rights or obligations under them without our prior written consent. We may transfer or assign these Terms and our rights and obligations under them, for example if the store is sold, provided this does not reduce your rights under the Australian Consumer Law or the terms of any order already accepted.

Section 21 - Governing Law

These Terms and any separate agreements under which we provide the Services are governed by the laws of the State of Wyoming, USA, where Nendra Commerce LLC is registered. This does not take away the protection of the Australian Consumer Law or any other law of your place of residence that cannot be excluded, and you can still bring a claim under those laws.

The headings in these Terms are for convenience only and do not limit or otherwise affect these Terms.

Section 23 - Changes To Terms Of Service

You can read the current version of these Terms at any time on this page. We may update, change or replace any part of these Terms by posting the changes on our website. We will notify you of material changes as the law requires. The version on this page when you place an order applies to that order. Your continued use of the Services after changes are posted means you accept the changed Terms.
